Terms and Conditions
These Terms and Conditions (“Agreement”) govern participation in the Manifesting Her Seasons Ambassador Program (“Program”) operated by Consmore Group (“Company,” “we,” “us,” or “our”). By applying to, enrolling in, or participating in the Program, you (“Ambassador,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by every provision of this Agreement. If you do not agree to these terms, do not apply or continue to participate in the Program.
1. Introduction and Acceptance of Terms
- 1.1 The Manifesting Her Seasons Ambassador Program is a referral and affiliate program through which approved individuals (“Ambassadors”) earn a commission by promoting and facilitating the sale of Manifesting Her Seasons (available as an audiobook and paperback) to third-party buyers using a unique referral link provided by the Company.
- 1.2 This Agreement constitutes a legally binding contract between you and Consmore Group. By completing the Ambassador application form and/or using a referral link issued by the Company, you accept all terms contained in this Agreement, including any future amendments made in accordance with Section 12.
- 1.3 Your participation in the Program is voluntary. You may withdraw at any time by notifying the Company in writing at info@manifestingherseasons.com, subject to the provisions on outstanding commissions and termination set out in Section 8.
- 1.4 The Company reserves the right to update, revise, or replace these Terms and Conditions at any time. Continued participation in the Program following any such changes constitutes your acceptance of the updated terms.
2. Eligibility
- 2.1 The Program is open to any individual who submits a complete application through the official registration channel provided by the Company. There are no restrictions on nationality, geographic location, age (provided the applicant is at least 18 years of age), profession, or prior experience in sales or marketing.
- 2.2 Submission of an application does not guarantee acceptance into the Program. All applications are subject to review and approval at the sole and absolute discretion of Consmore Group. The Company may accept or reject any application without providing a reason for its decision.
- 2.3 Employees, contractors, directors, and immediate family members of employees or directors of Consmore Group are not eligible to participate in the Program without the express prior written consent of the Company.
- 2.4 The Company reserves the right to revoke eligibility and terminate an Ambassador’s participation at any time if it determines, at its sole discretion, that the Ambassador no longer meets the eligibility criteria or has violated any provision of this Agreement.
- 2.5 By applying, you represent and warrant that all information provided in your application is accurate, complete, and not misleading. Providing false information during the application process constitutes grounds for immediate disqualification or termination.
3. Commission Structure
- 3.1 Ambassadors earn a commission of 20% (twenty percent) on each qualifying sale of Manifesting Her Seasons completed through their unique referral link. Based on the current product price of ₦16,500, this equates to a commission of ₦3,300 per sale.
- 3.2 Commissions are tracked exclusively through the unique referral link assigned to each Ambassador upon approval. Sales not completed through a valid, active referral link will not be credited to any Ambassador, regardless of any other communication or agreement.
- 3.3 A “qualifying sale” is defined as a completed, paid, and non-reversed purchase of Manifesting Her Seasons made by a new or returning customer using an Ambassador’s referral link, where the purchase is confirmed by the Company’s order management and tracking systems.
- 3.4 In the event that the Company changes the retail price of the product, the commission will continue to be calculated at 20% of the applicable sale price at the time of the transaction. The Company will notify active Ambassadors of any price changes in advance where practicable.
- 3.5 Commissions are credited to the Ambassador’s account only after the order has been fully processed and payment has been confirmed. Pending, disputed, or refunded orders do not generate a commission, and any commission already credited in respect of such an order will be reversed.
- 3.6 The Company does not guarantee any minimum level of earnings. Commission income is variable and entirely dependent on the Ambassador’s own promotional efforts and the purchasing decisions of third parties. The Company makes no representations, warranties, or projections regarding income potential.
- 3.7 Ambassadors are solely responsible for any applicable taxes, levies, or deductions on commissions earned, in accordance with the laws of their jurisdiction. Consmore Group bears no responsibility for any tax obligations arising from an Ambassador’s participation in the Program.
4. Payout Terms
- 4.1 Payment Method: All commission payments are made exclusively via direct bank transfer to a Nigerian bank account provided by the Ambassador. The Company does not offer payment by cash, mobile money, cryptocurrency, gift card, or any other method. It is the Ambassador’s responsibility to ensure that valid Nigerian bank account details are provided and kept up to date.
- 4.2 Payout Cycle: Ambassadors must select a preferred payout cycle, either weekly or monthly, at the time of registration. The selected payout cycle applies to all payments made to that Ambassador. Ambassadors wishing to change their payout cycle must submit a written request to the Company at least seven (7) calendar days before the next scheduled payout date.
- 4.3 Minimum Payout Threshold: Payments will only be processed when the Ambassador’s accumulated, unpaid commission balance reaches a minimum of ₦10,000 (ten thousand Naira). If the balance does not reach this threshold by the payout date, the balance carries over to the next payout cycle and accumulates until the threshold is met.
- 4.4 Bank Account Details: Ambassadors are fully responsible for providing accurate, complete, and current bank account information (including account name, account number, and bank name). The Company will not be liable for any delays, losses, or failed transfers resulting from incorrect, incomplete, or outdated bank details provided by the Ambassador.
- 4.5 Processing Time: The Company will endeavour to process payments within a reasonable time following the applicable payout date. Payments may be delayed due to bank processing times, public holidays, technical issues, or other circumstances beyond the Company’s reasonable control. The Company will not be liable for such delays.
- 4.6 Commission Reversals: Commissions credited in respect of subsequently cancelled, reversed, disputed, or refunded orders will be deducted from the Ambassador’s available balance before any payout is made. If a reversal results in a negative balance, the Company may offset the negative amount against future commissions or pursue recovery through other lawful means.
- 4.7 Forfeiture on Termination: Where an Ambassador account is terminated by the Company due to fraud, material breach of this Agreement, or any of the prohibited conduct described in Section 5, any unpaid commissions may be forfeited and withheld in full, as more particularly set out in Section 8.
- 4.8 The Company reserves the right to place a hold on commission payments pending investigation of any suspected breach of this Agreement, fraud, or irregular account activity. The Company will lift such a hold once the investigation is resolved, subject to any applicable forfeiture provisions.
5. Prohibited Conduct
- 5.1 Ambassadors must at all times conduct themselves in a lawful, honest, and ethical manner in connection with the Program. The following conduct is strictly prohibited and constitutes grounds for immediate termination, forfeiture of commissions, and where applicable, legal action:
- 5.2 Spamming and Unsolicited Communications: Sending unsolicited bulk messages, promotional communications, or referral links via email, SMS, WhatsApp, direct message, or any other channel to individuals who have not consented to receive such communications. This includes the use of purchased contact lists, mass-messaging tools, and automated messaging bots of any kind.
- 5.3 Misleading or False Claims: Making any statement, claim, or representation about Manifesting Her Seasons, its content, its benefits, or its results that is false, misleading, exaggerated, or unverifiable. All promotional claims must be truthful and consistent with materials approved by the Company.
- 5.4 Misrepresentation of Earnings Potential: Making any claim, guarantee, or suggestion, whether express or implied, that prospective buyers will achieve specific financial, spiritual, personal, or lifestyle outcomes from purchasing Manifesting Her Seasons. Ambassadors must not fabricate, embellish, or misrepresent testimonials or results. Similarly, Ambassadors must not misrepresent the income potential or guaranteed earnings available through the Ambassador Program itself.
- 5.5 Copyright Infringement and Unauthorised Use of Brand Assets: Using, reproducing, modifying, distributing, or publishing any brand asset, logo, image, audio clip, text excerpt, or design element belonging to Manifesting Her Seasons or Consmore Group without prior written permission from the Company. Ambassadors are permitted to use only the marketing materials expressly approved and provided by the Company.
- 5.6 Plagiarism: Copying, reproducing, or presenting the intellectual work, written content, marketing copy, audio content, or creative output of the Company or any third party as one’s own, without proper attribution and without obtaining the necessary permissions. Ambassadors must produce original promotional content or use only materials authorised by the Company.
- 5.7 Theft and Fraudulent Activity: Engaging in any act of theft, fraud, or dishonesty in connection with the Program. This includes, but is not limited to, attempting to steal commissions from other Ambassadors, generating fraudulent sales, making purchases under false identities or using stolen payment details, and manipulating or interfering with the Company’s tracking, payment, or order management systems in any way.
- 5.8 Manipulation of Tracking Systems: Using any technical method, script, tool, or scheme to artificially inflate click counts, conversion rates, or commission balances. This includes self-referral fraud (using one’s own referral link to make purchases for the purpose of generating a commission), cookie stuffing, link hijacking, and any other method designed to circumvent the integrity of the referral tracking system.
- 5.9 Brand and Author Impersonation: Representing oneself as an official spokesperson, employee, partner, or agent of Manifesting Her Seasons, Consmore Group, or the author of the book in any context. Ambassadors must clearly disclose that they are independent ambassadors and not official representatives of the Company or brand. Ambassadors must not create social media accounts, websites, or any online presence that could reasonably be mistaken for an official Company or brand property.
- 5.10 Fake Reviews and Testimonials: Creating, publishing, or soliciting fabricated, purchased, or incentivised reviews, testimonials, or endorsements of Manifesting Her Seasons on any platform, including but not limited to Amazon, Google, social media, book review sites, and personal websites. All reviews and testimonials shared by Ambassadors must be genuine and, where required by applicable regulations, must disclose the commercial relationship with the Company.
- 5.11 Unauthorised Paid Advertising: Running paid advertisements of any kind, including but not limited to Google Ads, Meta/Facebook Ads, Instagram Ads, TikTok Ads, YouTube Ads, or sponsored content on any platform, using the Manifesting Her Seasons brand name, imagery, or referral link, without obtaining prior written approval from the Company for each specific campaign. Violations of this clause may result in the Ambassador bearing all costs and liabilities arising from such unauthorised campaigns.
- 5.12 Harassment and Assault: Engaging in any form of harassment, intimidation, bullying, verbal abuse, or physical assault, whether online or in person, in the course of promoting the Program or the product, or in connection with any interaction arising from the Ambassador’s participation in the Program. This includes targeted harassment of customers, other Ambassadors, or any representative of the Company.
- 5.13 Defamation and Disparagement: Making any false, defamatory, or damaging statement about Manifesting Her Seasons, Consmore Group, the author, any other Ambassador, or any customer, in any public or private communication. This includes posting negative, misleading, or harmful content about the Company in retaliation for any decision made regarding the Ambassador’s account or commissions.
- 5.14 The above list is illustrative and not exhaustive. The Company reserves the right to determine, at its sole discretion, whether any conduct by an Ambassador constitutes a violation of this Agreement, and to take appropriate action accordingly.
6. Intellectual Property
- 6.1 All intellectual property rights in and relating to Manifesting Her Seasons, including but not limited to the book title, author name, cover artwork, interior content, audiobook recordings, brand logos, brand name, taglines, marketing copy, website content, photography, and all other creative and commercial materials, are and remain the exclusive property of Consmore Group (“MHS Brand Assets”). Nothing in this Agreement transfers or licenses any intellectual property rights to the Ambassador.
- 6.2 The Company grants Ambassadors a limited, non-exclusive, non-transferable, revocable licence to use only the MHS Brand Assets expressly approved and provided by the Company for the sole purpose of promoting the sale of Manifesting Her Seasons in accordance with this Agreement.
- 6.3 Ambassadors must not alter, adapt, modify, crop, recolour, distort, or otherwise change any approved MHS Brand Assets without the prior written consent of the Company. All approved materials must be used in the exact form in which they are provided.
- 6.4 Ambassadors must not use any MHS Brand Assets in a manner that is defamatory, misleading, offensive, or that could damage the reputation or goodwill of the brand. The Company reserves the right to withdraw the licence granted under clause 6.2 at any time without notice.
- 6.5 Any content created by an Ambassador that incorporates MHS Brand Assets will be subject to this Agreement. The Ambassador grants the Company a royalty-free, perpetual licence to use any testimonials, reviews, or promotional content produced by the Ambassador in connection with the Program, solely for the Company’s own marketing purposes.
- 6.6 Upon termination of participation in the Program for any reason, the Ambassador must immediately cease all use of MHS Brand Assets and remove any promotional content that includes such assets from all platforms and channels under the Ambassador’s control.
7. No Refund and No Exchange Policy
- 7.1 Consmore Group operates a strict no-refund, no-exchange policy on all digital products, including the Manifesting Her Seasons audiobook. Ambassadors acknowledge and accept this policy and must not make any representation to prospective buyers that contradicts it.
- 7.2 In the event that a sale is reversed, refunded, or subject to a chargeback or payment dispute for any reason (including but not limited to disputed charges, payment processor errors, or fraud), any commission credited to the Ambassador in respect of that sale will be automatically reversed and deducted from the Ambassador’s commission balance.
- 7.3 The Company will not pay commissions on orders that are flagged as fraudulent, incomplete, or non-genuine, regardless of whether such orders appear in the tracking system. The Company’s determination on whether an order qualifies for commission is final.
- 7.4 Ambassadors must not offer, promise, or imply any refund, exchange, or compensation to prospective buyers on behalf of the Company. Any such representation by an Ambassador is unauthorised and shall be the sole responsibility of that Ambassador.
8. Termination
- 8.1 Consmore Group reserves the right to terminate an Ambassador’s participation in the Program at any time, with or without cause, and with or without prior notice, at its sole discretion. Termination may be communicated by email to the address provided at registration or by disabling the Ambassador’s referral link and account access.
- 8.2 The Company may terminate an Ambassador’s account immediately and without notice in the event of a breach or suspected breach of any provision of this Agreement, including but not limited to any act of fraud, theft, misrepresentation, harassment, copyright infringement, or manipulation of the tracking system as described in Section 5.
- 8.3 Withholding of Unpaid Commissions: Where termination is due to fraud, wilful misconduct, material breach of this Agreement, or any conduct described in Section 5, the Company reserves the right to withhold all or any portion of commissions that have been earned but not yet paid to the Ambassador. The Company may also recover any commissions previously paid in connection with such conduct through any lawful means available.
- 8.4 In cases of termination for cause, the Ambassador forfeits any right to any unpaid commissions, and the Company shall have no further obligation to the Ambassador with respect to any accumulated balance below the minimum payout threshold, or any balance that is the subject of a fraud or breach investigation at the time of termination.
- 8.5 An Ambassador may voluntarily withdraw from the Program at any time by sending a written notice to info@manifestingherseasons.com. Upon voluntary withdrawal, any unpaid commissions that have met the minimum payout threshold and are not subject to reversal or investigation will be paid out within a reasonable period, subject to clause 4.5 and all other provisions of this Agreement.
- 8.6 The following provisions shall survive any termination of this Agreement: Sections 6 (Intellectual Property), 9 (Limitation of Liability), 10 (Indemnification), 11 (Governing Law), and any other provisions that by their nature are intended to survive termination.
9. Limitation of Liability
- 9.1 To the fullest extent permitted by applicable law, Consmore Group, its directors, officers, employees, agents, and affiliates shall not be liable for any loss of earnings, loss of income, loss of profits, loss of data, loss of business opportunity, or any other direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with an Ambassador’s participation in the Program.
- 9.2 The Company does not guarantee the continuous or uninterrupted availability of its website, referral tracking system, Ambassador portal, or any associated digital tools. The Company shall not be liable for any loss of commissions or tracking data resulting from technical failures, server downtime, software errors, or interruptions to third-party platforms or services.
- 9.3 The Company shall not be liable for the failure of any third-party platform, payment processor, social media network, or other external service used by the Ambassador in connection with their promotional activities. Ambassadors use all such third-party services at their own risk and subject to the terms and conditions of those services.
- 9.4 Ambassador Participates at Own Risk: Each Ambassador acknowledges that participation in the Program is entirely voluntary and at their own risk. The Company makes no guarantee of any financial return, outcome, or result from participation in the Program. The Ambassador assumes full responsibility for all decisions made in connection with their promotional activities.
- 9.5 Where liability cannot be fully excluded by law, the total aggregate liability of Consmore Group to an Ambassador, arising from any cause whatsoever in connection with this Agreement, shall not exceed the total commissions actually paid to that Ambassador in the three (3) calendar months immediately preceding the event giving rise to the claim.
10. Indemnification

10.1
You agree to indemnify, defend, and hold harmless Consmore Group, Manifesting Her Seasons, and each of their respective directors, officers, employees, agents, successors, and assigns (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- (a) your participation in the Ambassador Program or your use of any referral link or marketing material;
- (b) any promotional content created, published, or distributed by you in connection with the Program;
- (c) any breach by you of any representation, warranty, or obligation under this Agreement;
- (d) any act of fraud, misrepresentation, negligence, wilful misconduct, harassment, or infringement of any third-party rights committed by you in the course of your activities as an Ambassador;
- (e) any claims by third parties arising from statements, representations, or promises made by you to prospective buyers or members of the public in connection with Manifesting Her Seasons.
- 10.2 The Indemnified Parties reserve the right, at their own expense, to assume exclusive control of the defence of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with the Indemnified Parties in asserting any available defences.
- 10.3 This indemnification obligation shall survive the termination or expiry of this Agreement and your participation in the Program.
11. Governing Law and Dispute Resolution
- 11.1 This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of laws principles.
- 11.2 The parties consent to the exclusive jurisdiction of the courts of Lagos State, Nigeria, for the resolution of any dispute, claim, or controversy arising out of or relating to this Agreement, or the breach, termination, enforcement, interpretation, or validity thereof.
- 11.3 Before commencing any formal legal proceedings, both parties agree to first attempt to resolve any dispute through good-faith negotiation. Either party may initiate this process by giving written notice to the other party setting out the nature of the dispute and the resolution sought.
- 11.4 Nothing in this clause shall prevent the Company from seeking urgent injunctive or other equitable relief from any court of competent jurisdiction where such relief is necessary to protect the Company’s intellectual property or business interests.
12. Changes to Terms
- 12.1 Consmore Group reserves the right to modify, update, or replace any part of these Terms and Conditions at any time, at its sole discretion. Changes may include, without limitation, adjustments to commission rates, payout thresholds, payout cycles, eligibility criteria, permitted conduct, and any other operational aspects of the Program.
- 12.2 Where practicable, the Company will endeavour to notify active Ambassadors of material changes via email or through the Ambassador communication channel. Such notification is a courtesy only. It remains the Ambassador’s responsibility to periodically review these Terms and Conditions.
- 12.3 The most current version of these Terms and Conditions will always be available at the Company’s official website or the Ambassador Program portal. The “Effective Date” noted at the top of this document indicates the date from which the current version applies.
- 12.4 Continued participation in the Program after any changes to these Terms and Conditions have been posted constitutes your irrevocable acceptance of the revised terms. If you do not agree with any modification, your sole remedy is to withdraw from the Program by notifying the Company in writing.
13. Miscellaneous
- 13.1 Entire Agreement: This Agreement constitutes the entire agreement between you and Consmore Group with respect to the Ambassador Program and supersedes all prior or contemporaneous communications, representations, and agreements, whether oral or written, relating to its subject matter.
- 13.2 Severability: If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, lawful, and enforceable. If such modification is not possible, the provision shall be severed from this Agreement. The remaining provisions of this Agreement shall continue in full force and effect.
- 13.3 No Waiver: The failure of the Company to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision. A waiver by the Company of any breach of this Agreement shall not be construed as a waiver of any subsequent breach.
- 13.4 Independent Contractor: Ambassadors participate in the Program as independent contractors and are not employees, agents, partners, or joint venturers of Consmore Group. Nothing in this Agreement creates any employment, agency, partnership, or joint venture relationship between the parties. Ambassadors have no authority to bind or create obligations on behalf of the Company.
- 13.5 Assignment: Ambassadors may not assign, transfer, or delegate any of their rights or obligations under this Agreement without the prior written consent of the Company. The Company may assign its rights and obligations under this Agreement without restriction.
